Syolozis a Platform for the introduction of one or more Mentors to the Students.

The Student is the person who receives the Mentoring service through sessions of Mentors. The Client agrees to these terms and conditions which relate to Syoloz.The Mentoring services are provided by the Mentor under a separate agreement between the Client and the Mentor mentioned below exclusively.


The Termination or Conclusion of the Agreement occurs when all of the obligations under this contract are complete or discharged, excluding the ongoing undertakings in this contract. Conclusion of the Agreement will typically occur at the end of the final lesson but may occur at another time in accordance with this contract

The person who is using our website or a registered member of our online application must abide certain terms and condition laid by us as well as stated by the law of the land.Therefore, please read these terms and conditions before you access our site. Read the conditions carefully before using our services.
If you have any problem to any of our terms and conditions then you are not allowed to useSyoloz or any collective content as defined below:

You are referred to in this contract as ‘the Client’, and you are the other party to this contract. You agree to the purchase of Mentoring services on behalf of ‘the Student’. ‘The Student’ may be yourself or another person.

Terms and Conditions for Mentors

  1. Status of Terms and Conditions

Syoloz reserves the right to alter these terms and conditions.

This agreement is governed by the law of India and the parties submit to the jurisdiction of the Courts of Noida.

No variation or alteration of these Terms and Conditions by the Mentor shall be valid unless approved in writing by Syoloz

The Mentor and Syoloz acknowledge that these terms govern legal rights and obligations between them.

 

  1. Status of Mentors

If the Mentor is a self-employed Mentor then nothing contained within this Agreement shall constitute the relationship of employer and employee and/or worker or a partnership between the Company and the Mentor. Syoloz acts as an agent for the Mentor by introducing them to suitable Clients.

Once a Mentoring position has been confirmed, you are entering into a contract between you (the Mentor) and the Client (the Student, or the Student’s parent/guardian). This contract can be found below on this page.

The Terms of contract entered into by you with the Client shall be in the form provided by Syoloz. Save where expressly provided for in these Terms, the Mentor has no power or authority to increase, reduce, or vary the tuition as set out or referred to in these Terms or to alter or waive any of these Terms or to bind or commit the Company in any way.

 

  1. Tax

The Mentor undertakes to duly and promptly pay all income tax and national insurance contributions in relation to all charges and sums payable to the Mentor by the Company and shall be responsible for completing all relevant assessments, returns and other information in relation to such charges and sums and to taxation affairs generally.

The Mentor shall indemnify the Company and keep the Company fully and effectively indemnified against all income tax, national insurance contributions and related penalties and/or interest in respect of any charges paid or payable by the Company to the Mentor for the Tuition, and any reasonable costs incurred by the Company in recovering any such sum due by the Mentor to the Company under this paragraph.

 

  1. Mentor’s Responsibilities

The Mentor should carry out the Mentoring services in a professional manner with due skill, diligence and care.

The Mentor is responsible for the content of lessons. These are to be carried out with proper preparation in accordance with a particular course of study, and in accordance with the Client’s instructions and/or relevant exam syllabus.

Provided the Client gives clear prior consent in writing, the Mentor may obtain educational resources such as textbooks on behalf of the Client/Student. Syoloz must be informed of any such arrangement to obtain educational resources.

Mentors are responsible for keeping their time sheets up to date. This is a standard record of all lessons taught, which is to be signed by the Client after each lesson.

The Mentor will write an assessment for the Student prior to their first lesson with the Student, and submit it to Syoloz prior to the first lesson so that it can be checked and approved. The Student will carry out this assessment during the first lesson. Within 24 hours of the first lesson the Mentor must write a detailed critical analysis of how the Student did on the assessment, particularly focusing on areas of strength and weakness and what should be worked on during the course of tuition.

If the Mentor ceases to work with Syoloz during a course of tuition, or ceases to work with a particular Student, either at their own behest or the behest of the Client, and the Student is continuing with their course of tuition from Syoloz, the Mentor will draft a final report. This report will describe the work that the Mentor has done with the Student, and the work that remains to be done. It will describe the Student’s areas of strength and areas of weakness. The aim of the report will be to enable a new Mentor to pick up where the old Mentor stopped.

Mentors are expected to be responsive when contacted by Syoloz. If you persistently fail to respond to communication (via email or telephone or both) then we reserve the right to remove you from our books.

We also reserve the right to remove you from our books for breaching this agreement In addition we reserve the right to remove you from our books due to unreasonable, inappropriate or rude behavior such that we feel we are unable to act as your agent.

 

  1. Private Arrangements

In consideration of Syoloz providing you with Students, you are not permitted to make private arrangements for tuition with Clients introduced by us or with new Client introduced by Syoloz Clients. Should you breach this obligation, you will be liable to account to Syoloz for all sums received by you from the Client/new Client without deduction and we shall be entitled to obtain an injunction against you to prevent further breaches. This obligation shall continue notwithstanding termination or completion or other discharge of this Agreement.

Any work referred to a Mentor by a Client of Syoloz must be billed through Syoloz on your behalf. Syoloz is willing to negotiate on commission for new Clients referred to you by our Clients but we must process the billing and bookings must be through Syoloz.

The Mentor will not provide or agree to provide any services or carry out any work for the Client or the Student other than the Tuition, save with the prior consent of Syoloz.

6. Payment

Mentors will agree the fee structure with the Client and this may not be changed by the Mentor or the Client without written authority of Syoloz.

7. Cancellation Policy

The Mentor will provide to the Client notice of any proposed holiday dates and request the same from the Client, in order to schedule lessons at a convenient time for both parties. The Mentor must notify Syoloz of the schedule agreed.

In the event of cancellation of a scheduled lesson, Syoloz must be informed and an alternative date will be agreed between Client and Mentor. The notification of Syoloz of the cancellation and alternative Session date will speed up administration and prevent delays to your payment.

Mentors should be aware that Clients must give notice of cancellation of any session more than five hours before the session is due to begin. If notice is given by that time, there is no charge to rearrange the session, and the Mentor is not paid for a session that has not been taught.

8. Liability

Syoloz does not accept any liability for any claims by the Client arising out of or related to the carrying out of the Mentoring by you and you agree to indemnify Syoloz without limit in respect of any such claims.

Syoloz shall have no liability to the Mentor for any loss, damage, expenses, payments or injury which the Mentor may incur arising from the security or state or condition of any premises in which the Tuition is provided or from any act or omission of the Client, the Student or any third party occurring on any such premises or otherwise during the course of or in connection with the provision of the Tuition.

Syoloz shall have no liability for any loss or damage arising directly or indirectly from any act or omission of the Mentor. The Mentor shall indemnify the Company and keep the Company fully and effectively indemnified on demand against any actions, claims, costs, losses, damages, expenses, liabilities and payments which may be brought against or suffered or incurred by the Company as a result of or in connection with, directly or indirectly, the provision of the Tuition by the Mentor, any act or omission by the Mentor, and any breach or non performance of these Terms or the Terms of the Agreement between the Mentor and the Client by the Mentor.

Syoloz does not exclude liability that is not permitted to be excluded by law, and in particular we do not exclude liability for death or personal injury arising from Mentors own negligence.

9. Confidentiality

The Mentor undertakes that they will not at any time during or after the conclusion of this agreement, disclose to any person any confidential information concerning the business, affairs, customers, clients or suppliers of Syoloz, except that you may disclose Syoloz confidential information as may be required by law, court order, or any governmental or regulatory authority.

The Mentor undertakes not to make use of confidential information encountered through association with Syolozfor any purpose other than to perform your obligations under this Agreement.

 

10. Data Protection

Syoloz uses Mentor data for the purposes of the services that it provides. Mentors providing personal data consent to the use of that data by Notebook Mentors for the purpose of effecting introductions to Clients, for billing and fee collection purposes and to enable Syoloz to contact the Mentor from time to time. If you would like additional information, we encourage you to read our Privacy and Data Collection Policy.

11. Truthfulness and Accuracy

The Mentor warrants and represents to the Company that all written and oral statements and information provided by the Mentor to the Company for the purpose of or in connection with the Tuition, including (but not limited to) personal information about the Mentor and/or your qualifications, credentials, references and suitability for providing the Tuition were when provided, and remain, true, complete and accurate.

If anything occurs which materially changes the information originally provided, such as but not limited to you being convicted of an offence subsequent toyou, you must inform the Company of this information in order that the information provided to the Company about yourself remains truthful and accurate.

12. Profile creation 

 By creating Mentor Profile at Syoloz you are allowing us to send you SMS and email alerts of classes based on your profile.

 

13. Details of Mentors required

Mentors have to submit a copy of their Address Proof (Aadhaar, Voter ID, Passport, Driving License, Etc) Two Coloured Passport Size Photographs and Last Obtained Educational Qualification.

14. Legal actions

In case of any fraud by the teachers with any student or with Syoloz then we are free to take legal action against him/her.

15. Professionalism

 Mentors are requested to be punctual and behave/talk/dress up professionally while visiting to any client for trial or regular class. 

Entire agreement

These Terms and conditions form the whole agreement between you and the site relating to their subject matter, and cancel and succeed any prior versions of the document. You may not assign or otherwise transfer any right granted. You also may be subject to additional terms and conditions that may apply when you use the site or third party products or services.

  1. General
    The Client acknowledges that these terms govern the legal rights and obligations between the Client and Syoloz. Syolozreserves the right to alter these terms and conditions.
  • No variation or alteration of these terms by the Client shall be valid unless expressly approved in writing by Syoloz

  1. Contractual Relationship
  • Syolozprovides introductions ofMentors to Clients and vice versa; Syolozis an Platform for the Mentor. It also collects fees from the Client on behalf of the Mentor together with its own fee relating to its administration and introduction commission.
  1. Agreement with the Mentor for the provision of Mentoring services
  • A Mentor will be deemed to have been introduced to the Client bySyolozin the event that either the name of the Mentor is provided to the Client by Syolozfollowing the request for a Mentor by the Client, or Syolozarranges for a Mentor to contact the Client following such request for a Mentor provided by the client to Syoloz
  • By booking a Session with the Mentor, the Client agrees to be bound by these Terms and Conditions and by the terms and conditions which govern their relationship with the Mentor.
  • The Mentor is self-employed and engaged by the Client to provide tuition to the Student. Clients should be aware that the Mentor does not have power to bind Syolozin any way.
  1. Prohibition of other Arrangements
  • The Client will not agree any alternative fees with the Mentor and agrees not to render any direct payments to the Mentor.
  • The Client is not permitted to enter into any private arrangements with any Mentor introduced by Syoloz. The Client undertakes to make all bookings with Mentors introduced by Syolozexclusively through Syoloz.
  • A breach of these terms will render the Client liable to account to Syolozfor all sums received by the Mentor direct from the Client or from a new Client without deduction and Syoloz shall be entitled to seek injunctions against the Client to prevent further breaches. These obligations continue beyond the termination or conclusion of this agreement.
  • Should you wish to recommend one of SyolozMentors to any other Potential or Actual Client, that Client must contact Syolozto make a booking through the agency.

 

  1. Replacements and Termination
  • If the Mentor is unable to complete the Course of Tuition, or the Client requests a replacement Mentor because they are not satisfied with the original Mentor assigned to them, Syolozwill endeavour to find up to two suitable replacement Mentors with regard to the level and subject for which tuition is required.
  • If Syolozis unable to find such a suitable replacement Mentor within a reasonable time to complete the remaining Sessions of the Course of Tuition, Syolozwill refund a portion of the fees pre-paid by the Client representing the number of sessions that the Mentor or any replacement Mentor has been unable to complete.
  • If the replacement Mentors meet Syolozcriteria for suitability for the job in terms of subject and level knowledge and is available at the same time or another time convenient for the Client, then Syolozhas fulfilled its obligations; if the Client then wishes to terminate the Tuition mid-Course then Syoloz is not liable for any refund.
  • If the Client wishes to terminate the Tuition mid-Course for any reason, no refunds can be granted for the balance of sessions that have been taught; furthermore, one week’s notice must be provided.

 

  1. Payment
  • The Client can pay either by bank transfer or in cash at any bank for the first lesson. Thereafter if the Client is paying monthly payment can be made via our online payment system, GoCard-less.
  • The Client will pay on a monthly basis in advance. The Client will be invoiced during the last week of the month in respect of tuition that will be delivered in the course of the following month.
  • Exceptionally we may allow some clients to pay on a weekly payment basis. Invoices will still be issued monthly but will have weekly payment dates. These must be paid two business days before the scheduled lesson. If the invoice is not paid on time, the lesson will be cancelled.
  • Tuition will not begin prior to receipt of payment for the month or period in question.

 

  1. Client’s Responsibilities
  • The Client shall notify Syolozimmediately and without delay and in any event within 24 hours if the Mentor fails to attend work or notifies the Client that (s)he is unable to attend work for any reason.

 

  1. Expenses
  • Provided the Client gives clear prior consent in writing, the Mentor may obtain educational resources such as textbooks on behalf of the Client/Student. As stated in Prohibition Of Other Arrangements, the Client agrees not to render any direct payments to the Mentor. Syolozmust be informed of any such arrangement to obtain educational resources, and will arrange reimbursement for the Mentor via invoice to the Client.
  1. Liability
  • Syolozdoes not accept any liability for any claims by the Client arising out of or related to the provision of Mentoring services by the Mentor.
  • Syolozwill not be liable to the Client or any third party for any act, omission or error(whether wilful, negligent or otherwise) of the Mentor.
  • Whilst every effort is made by Syolozto give satisfaction to the Client by ensuring reasonable standards of skills, integrity and reliability from Mentors and further to provide them in accordance with the Client’s needs, Syolozis not liable for any loss, expense, damage or delay arising from the negligence, dishonesty, misconduct, accidental or deliberate damage to property during the assignment or lack of skill of the Mentor.
  • The Client shall indemnify and keep indemnified Syolozagainst any costs, claims or liabilities incurred by Syolozarising out of any Assignment or as a result of any breach of these Terms by the Client.
  • Syolozdoes not accept any liability for the consequences of tuition, including, but not limited to, exam results and dissertation scores.
  1. Scheduling and Cancellation
  • Clients should be aware that there can be considerable preparation involved before each Session of tuition, in addition to travel time and cost to the Mentor.
  • Notice of cancellation of a scheduled Mentoring Session for any reason whatsoever must be given by the Client to Syoloz more than five hours prior to the scheduled Session. If notice is given more than five hours prior to the scheduled Session, the Client will not be charged for the Session.
  • If notice of cancellation of a scheduled Mentoring Session is given within five hours of the start of the Session, then the Client will be charged with the full payment for that Mentoring session, whether it is one, two or more hours, unless the Mentor deems the cause of cancellation to be unavoidable and agrees not to accept payment for the Session.
  • Should the Mentor not be available on the day, the Client will be informed, and a re-arranged time may be offered by the Mentor. If a suitable alternative time cannot immediately be arranged, Syolozmust be immediately informed and this will be a credit Session that the Mentor and client can arrange in the future.
  • If a Class falls on a Bank Holiday or other national or religious holiday that either the Mentor or the Client wishes to observe, then an alternative Session must be arranged and SyolozMentors must be informed of any new arrangements.
  • If the Student is late for a Session, the Mentor may choose to but is not obligated to work beyond the scheduled end time. If the Mentor stops work at the scheduled end time, the Session will be charged at the usual price. If the Mentor agrees to work beyond the scheduled end time at the Client’s request, the Mentor may choose to charge the Client for the additional time. If a Mentor is late for a Session, then it is the duty of the Mentor to arrange to make up the lost time.
  • If the Student or Client chooses to terminate a Session early (for example, after one hour of a two-hour session), the Session will be charged at the usual price.
  • Prior to Sessions, Clients will receive a lesson reminder from Syolozvia email on behalf of the Mentor.

 

  1. Fees and Financial Arrangements
  • Syoloz, as platform for the Mentor, will agree an hourly rate for tuition with the Client. The Mentor and the Client agree that all payments will be done through Syolozas the agent for the Mentor. The hourly rate may not be changed by the Mentor or the Client without written authority of Syoloz.
  • The Mentor and the Client agree not to make any private arrangements for tuition with each other or with other Mentors or Clients introduced by Syoloz.. A breach of this obligation will render the Mentor and the Client liable to account to Syolozfor all sums paid and received, and Syolozwill be entitled to seek an injunction against the Mentor and the Client to prevent further breaches. This obligation continues beyond the end of this agreement and the conclusion of the course of tuition.
  • The Client may instruct the Mentor to acquire particular educational or teaching resources on behalf of the Client/StudentSyolozmust be informed of any such arrangement, and we will arrange reimbursement of the Mentor via invoice to the Client. Mentors are not permitted to accept funds directly from the Client for any reason; Clients are not permitted to pay funds directly to the Mentor for any reason. Clients will have to confirm any such arrangement in writing.

 

  1. Cancellations and Scheduling
  • The Mentor will provide to the Client notice of any proposed holiday dates and request the same from the Client, in order to schedule lessons at a convenient time for both parties. In the event of cancellation of a scheduled lesson, Syolozmust be informed and an alternative date agreed between Client and Mentor.
  • Clients must give notice of cancellation of any scheduled lesson more than five hours before the session is due to begin. If notice is given by that time, there is no charge to rearrange the session, and we do not charge for the session on behalf of the Mentor.
  • If notice is given within five hours of the start time of the session, then Syolozwill charge for the session on behalf of the Mentor unless the Mentor views the reason for cancellation to be unavoidable, and they choose not to charge for the session.
  • If the Student is late for a session, the Mentor may choose to but is not obligated to work beyond the scheduled end time, and the session will be charged at the usual price, whether or not the Mentor works beyond the scheduled end time. If a Mentor is late for a session, then it is the obligation of the Mentor to arrange to make up the lost time.
  1. Liability
  • Syolozis not responsible for insurance arrangements in respect of the Mentor and their provision of Mentoring services, and the Client should note this.
  • Syolozdoes not accept any liability for any claims by either the Client or the Mentor relating to the provision of Mentoring services or any related matters.
  • Syoloz does not exclude liability that is not permitted to be excluded by law.
  • The Mentor is engaged by the Client only to provide tuition and is not responsible for the safety, wellbeing, welfare and care of Students or for the protection of any person’s property. Clients who choose to leave the Student alone with the Mentor during the Mentorial do so of their own free choice and at their own risk.

Registration process

The Mentors

The Mentors will become a registered member as a Mentor at the website and fill in the basic information form to request entry to the database and after verification of the account. However they will ONLY be able to be hired as a Mentor after submitting their academic profile information. After the authentication process ONLY, the platform can be used to be hired for services.


Mentors selection criteria

To become a part of active database, the Mentors are liable to pass through some filters for quality assurance. They will fill in the basic information form to join the network of Mentors; their credentials will be checked by the team. They will be asked to submit their certification documents for verification process. The documents will be verified from the authorities of their academic institute. They will be assessed through a written test within the specified time limit. They will be given a spoken English test to assess the quality and clarity of the accent. Final approval will be shared on successful completion of the procedures to those who fall on the above criteria. Unsuccessful candidates will be excluded from the site database. Users failing to follow the authentication process will be removed from our database.

On the request of a student a relevant Mentor will be linked with him, followed by a half an hour demo class to be organized. The student is liable to share his feedback on the completion of the demo class, according to the set indicators. If the student is satisfied, the Mentor can continue with the tuition and the student may proceed with the payment system. If the student is not satisfied he will be linked with the other option. The students will be linked with as many options as are required to find out a satisfactory option; until the student is happy with the Mentor. The Mentors will be rated on the 5 star rating systems. It will be mandatory for the students to rate the quality of services provided by the Mentors. Mentors will be categorized according to the aggregate rating provided by the students.

Behavior and conduct

Internal communication among the members may not contain anything which may be taken as abuse, harassment and threat. Any such behaviour will instantly result into termination of the members and for Mentors; forfeiting the dues as a penalty. The Mentors and students can only have an internal email correspondence if the system permits to interact; The Mentors cannot directly access the student to influence their decision of hiring services. If a Mentor could not satisfy the student in the demo class, he will lose access to the student and will not be allowed to contact him to create any inconvenience. Any attempt of pressure or influence will be taken as violation of terms and conditions.

 

User Identification

All the members will be issued a unique identification code; the name behind each code will not be revealed to other members. This is to prevent any attempt of direct approach; however after availing face to face Mentoring or Skype classes or zoom classes, the site does not take any responsibility for any unfavorable situation occurring due to direct interaction in future. Sharing direct contact information with the students through internal communication system with an intention to bypass the service system will result into termination of membership account.

 

Tell a friend

The teachers and Mentors may avail “tell a friend option” to inform someone about our Service, we will request you for email address of your friend, in order to process your request. An automatic email will be generated to your friend with your referral link. The person may contact us at mailid info@syoloz.com to request removal of this information from our database. The Mentors will receive 10% of the first payment made by the referred student, or 10% from the first payment of the referred Mentor. If the student refers someone; he will get 10% discount in the next payment.

 

Violation report

Violation of the terms and conditions may be reported through any sources; which may include but not limited to the reports by internal members, such as report by the Mentors after providing services to the students, or vice versa. Third party reports may also be accepted for further investigation. The administration reserves the rights to take action after internal investigation; proof of such violations may lead to termination of the membership.

 

Content and material

The service does not claim ownership of the material uploaded on the website and has no obligation of any kind regarding any of such content. However, any content that you provide in connection with this website may be deemed to be provided on a non-confidential basis. Open access to all academic materials will not be provided to all members. The privacy policy as stated above; will be applicable to these kinds of materials.


Legal obligations

The service may provide any sort of personal, Mentoring or transaction related information; stated above, ONLY in case of some kind of any legal requirement. The information may ONLY be shared with the authorities in case of the legal order from the competent authority. The subject matter solely depends upon the nature of individual case, and may be decided on discretion of the management.

 

Termination and suspension

The service reserves the right to suspend and /or terminate any user with or without notice at any time in its sole discretion, for any reason or no reason. You agree that, if you are suspended and/or terminated, you will make no further use of the Site after termination or during suspension. Violation of terms and conditions will instantly result into termination of the members and for Mentors; forfeiting the dues as a penalty.

The termination; as stated above, may include, but not limited to the following reasons;

  • Violation of confidentiality agreement
  • Violation of conduct terms; abuse, threat or harassment
  • Attempt of influencing the selection of Mentors
  • Committing any dishonest activity; such as writing assignments on behalf of the students etc.
  • Mentors having negative feedback from 3 students
Restraining action

The website reserves the rights to restrain any member from the website membership for future at the time of terminating membership. These kinds of decisions may be supported through a severe breach of policies and violation of the term and conditions; however management can take such decisions on its own discretion. Getting involved in any kind of abusive or harassing behavior, making attempts to forcefully influencing Mentor’s selection or some sort of financial embezzlement may lead to these kinds of actions by the management.

 

Notice policy

The site may provide notice to Users via email or internal communication system, notices on the Site. The users who want to quit during the Mentoring agreement are liable to provide one month notice; failing to do this will cause forfeiting the dues for those services, which have been discontinued in the middle. The site reserves the right at any time to modify, suspend or terminate the services or restrict them, with or without any prior notice. The site may also remove any account or restrict use of, all related information and files. The site will not be liable to Users or any third-party for any modification, suspension, or termination of service, or loss of related information. The site may revise these Terms at any time by posting the revised terms on this Site.
